These Terms of Service ("Terms") govern your access to and use of the websites, content, resources, and services provided by Evolve Leadership Consulting, LLC ("Evolve," "we," "us," or "our"). By accessing our sites, requesting our resources, or engaging our services, you agree to these Terms. If you do not agree, please do not use our sites or services.

1. Eligibility

Our sites and services are intended for business owners and professionals who are at least 18 years old and able to form a binding contract. By using our sites, you represent that you meet these requirements.

2. Our Services

Evolve provides leadership and business consulting, including diagnostics, strategy, and implementation services organized around our Five Facets of Business methodology, along with related educational content and resources. Free resources and assessments are provided for informational purposes and do not create a consulting relationship. A consulting relationship is formed only through a separate written agreement.

3. No Guarantee of Results

Our content, resources, and assessments are provided for general informational and educational purposes. Any examples, outcomes, or results referenced are not promises or guarantees of future performance. Business results depend on many factors outside our control, including your own decisions, execution, market conditions, and effort. You are solely responsible for your business decisions and outcomes.

4. SMS Terms and Conditions

By providing your contact information, you agree that we may contact you by email and, where you have separately opted in, by text message, consistent with our Privacy Policy. You can opt out of marketing emails via the unsubscribe link at any time. The following terms govern our SMS text messaging program.

Program description and message use cases. If you opt in, you agree to receive text messages from Evolve Leadership Consulting related to our services. Message types include appointment confirmations and reminders for your Business Velocity Assessment and other scheduled calls, follow-up communications related to your inquiry, and, where you separately consent, marketing and promotional messages about our leadership and business consulting services, the Five Facets operating system, educational content, and special offers. You will only receive text messages if you actively opt in, and consenting to receive text messages is not a condition of purchasing any product or service.

Message frequency. Message frequency varies.

Message and data rates. Message and data rates may apply. Any such charges are billed by and payable to your mobile service provider, and Evolve Leadership Consulting is not responsible for any message or data charges you incur.

Opt-out and help. You can cancel the SMS service at any time by replying STOP to any message. After you reply STOP, we will send you a confirmation and then stop sending messages. For help, reply HELP or contact us at [email protected].

Carrier liability. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed.

5. Intellectual Property

All content on our sites, including text, graphics, logos, frameworks, methodologies, reports, and other materials, is owned by or licensed to Evolve and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use our content for your own internal, non-commercial reference. You may not copy, reproduce, distribute, republish, or create derivative works from our content without our prior written consent.

6. Acceptable Use

You agree not to:

Use our sites or services for any unlawful, harmful, or fraudulent purpose.
Attempt to gain unauthorized access to our systems or interfere with their operation.
Copy, scrape, or resell our content or resources without authorization.
Misrepresent your identity or provide false information.

7. Third-Party Services and Links

Our sites may reference or link to third-party websites, tools, and services. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms.

8. Disclaimers

Our sites, content, and free resources are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our sites will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Evolve and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of our sites, content, or free resources, even if advised of the possibility of such damages. Our total liability for any claim related to our sites or free resources will not exceed one hundred dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law. Liability under any paid engagement is governed by the separate written agreement for that engagement.

10. Indemnification

You agree to indemnify and hold harmless Evolve and its owners, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of our sites or services or your violation of these Terms.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or our sites will be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of our sites after an update constitutes acceptance of the revised Terms.
